This AMENDED AND RESTATED CREDIT AGREEMENT dated as of July 21, 2004 (this “Agreement”) is among TETRA TECH, INC., a Delaware corporation (the “Company”), the financial institutions that are or may from time to time become parties hereto (together with their respective successors and assigns, the “Banks”), U.S. BANK NATIONAL ASSOCIATION, as Documentation Agent, WELLS FARGO BANK, N.A., as Syndication Agent, and BANK OF AMERICA, N.A.
