THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into by and between Huron Ventures, Inc., a Delaware corporation with its principal executive offices in Fort Worth, Texas (the “Company”), and Thomas Cochrane, an individual currently residing in League City, Texas (“Employee”), this 28th day of May 2004, but effective on the 9th day of June, 2004 (the “Effective Date”).

THIS EXECUTIVE EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into in Dallas County, Texas, effective as of the 28th day of May; 2004 (the “Effective Date”) by and between Huron Ventures, Inc., a Delaware corporation having its principal place of business in Tarrant County, Texas (the “Company”), and S. Jeffrey Johnson, a resident of Tarrant County, Texas (the “Executive”).

THIS INVESTMENT ESCROW AGREEMENT (this “Agreement”) is made and entered into this 28th day of May, 2004, by and among Cano Energy Corporation, a Texas corporation (“Cano,”) and Huron Ventures Inc., a Delaware corporation (“Huron,”), and Phillip A. Wylie, in his capacity as escrow agent hereunder (“Escrow Agent”). Except as otherwise expressly defined herein, each term used herein with its initial letter capitalized that has been defined in the Merger Agreement (as defined below) shall have the same meaning herein as ascribed to it in said Merger Agreement.
