THIS FIFTH SUPPLEMENTAL INDENTURE, dated as of September 16, 2004 (this “Fifth Supplemental Indenture”), to an Indenture, dated as of October 1, 1985, among BOISE CASCADE CORPORATION, a corporation duly organized and existing under the laws of the State of Delaware, (the “Company”), U.S. BANK TRUST NATIONAL ASSOCIATION (as successor in interest to Morgan Guaranty Trust Company of New York) (the “Original Trustee”) and BNY WESTERN TRUST COMPANY, a California banking corporation (the “Series Trustee”). Capitalized terms used herein but not otherwise defined herein shall have the meanings ascribed to them in Exhibit A attached hereto, and if not defined therein, then such terms shall have the meanings ascribed to them in the Indenture (as hereinafter defined).

This Remarketing Agreement (this “Agreement”) is being entered into pursuant to the Purchase Contract Agreement between the Company and BNY Western Trust Company, as purchase contract agent (the “Purchase Contract Agent”), dated as of December 5, 2001 (the “Purchase Contract Agreement”). The Debentures have been issued by the Company pursuant to an Indenture, dated as of October 1, 1985, between the Company and U.S. Bank Trust National Association (as successor in interest to Morgan Guaranty Trust Company of New York), as trustee (the “Original Trustee”) (the “Original Indenture”), as supplemented by the First Supplemental Indenture between the Company and the Original Trustee, dated as of December 20, 1989 (the “First Supplement”), the Second Supplemental Indenture between the Company and the Original Trustee, dated as of August 1, 1990 (the “Second Supplement”), the Third Supplemental Indenture, dated as of December 5, 2001, among the Company, the Original Trustee and BNY Western Tru
