THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of November 2, 2004, by and among Option Care, Inc., a Delaware corporation (the “Company”), and UBS Securities LLC and Piper Jaffray & Co. (collectively, the “Initial Purchasers”) pursuant to that certain Purchase Agreement, dated October 28, 2004 (the “Purchase Agreement”), among the Company and the Initial Purchasers.
