This RESTRICTIVE COVENANTS AGREEMENT (the “Agreement”) is made and entered into as of this 23rd day of December, 2004 (the “Effective Date”), by and among BioSphere Medical, Inc., a Delaware corporation (the “Biosphere”), Cerberus Partners, L.P.
