This Stock for Stock Exchange Agreement (the “Agreement”) is entered into on December 31, 2004, by and among INTAC International, Inc., a Nevada corporation or its designees (the “Buyer”), and Forever Sino International Limited, a company incorporated in Hong Kong (the “Seller”). The Buyer and the Seller are referred to collectively herein as the “Parties.”
