Navistar Financial Securities Corporation, (the “Company”) as depositor of the Navistar Financial Dealer Note Master Owner Trust (“Master Owner Trust”), proposes, subject to the terms and conditions stated herein, to cause to be issued and sold to you (the “Underwriter”) an aggregate of $200,000,000 principal amount of the Class A Floating Rate Dealer Note Asset Backed Notes, Series 2005-1 (the “Class A Notes”) and an aggregate of $12,000,000 principal amount of the Class B Floating Rate Dealer Note Asset Backed Notes, Series 2005-1 (the “Class B Notes”). The Class A Notes will have an Expected Principal Payment Date of February 25, 2010 and will bear interest at LIBOR plus 0.11%. The Class B Notes will have an Expected Principal Payment Date of February 25, 2010 and will bear interest at LIBOR plus 0.48%.
