This Agreement is made this 2nd day of March, 2005 (the “Effective Date”), by and between VITACUBE SYSTEMS HOLDINGS, INC., a Nevada corporation (“Employer” or the “Company”), and EARNEST MATHIS, JR. (“Employee”). This Agreement supersedes and replaces all prior employment agreements between the parties whether written or oral.

THIS AGREEMENT is made this 28th day of February, 2005, by and among SANFORD D. This Agreement will not take effect unless and until the Corporation’s securities are listed for trading on the American Stock Exchange.
