This Amended and Restated Operating Agreement of Lake Area Corn Processors, LLC, is hereby adopted and entered into as of the 17th day of February, 2005, for good and valuable consideration, by the Company (as defined below) and the Members (as defined below). This Amended and Restated Operating Agreement amends and restates in its entirety that certain Amended and Restated Operating Agreement dated December 14, 2004 by and among the Company and the Members.
