This Amendment No. 2 to Employment Agreement dated as of December 16, 2004, (this “Amendment”) is entered into with reference to the Employment Agreement dated as of November 8, 2000, between Hard Rock Hotel, Inc., a Nevada corporation (the “Company”), and James D.
