This REGISTRATION RIGHTS AGREEMENT dated as of March 31, 2005 is made and entered into by and between CERRO TRADING COMPANY, INC., a Delaware corporation (“Cerro”), SPC Investors, L.L.C., a Delaware limited liability company (“SPC”), PHELPS DODGE CORPORATION, a Delaware corporation (“PD”), PHELPS DODGE OVERSEAS CAPITAL CORPORATION, a Delaware corporation (“PDOCC”), and CLIMAX MOLYBDENUM B.V., a Dutch corporation (“Climax”), SOUTHERN PERU COPPER CORPORATION, a Delaware corporation (the “Company”) and AMERICAS MINING CORPORATION, a Delaware corporation (“AMC”).
