SECURITY AGREEMENT, dated as of March 15, 2005, by and among each of the entities identified on the signature page hereto under the heading “Grantor” (each a “Grantor” and, collectively, the “Grantors”) and HSBC BANK USA, NATIONAL ASSOCIATION, as Administrative Agent for the ratable benefit of the Lenders from time to time party to the Credit Agreement referred to below (in such capacity, the “Secured Party”).

CREDIT AGREEMENT dated as of March 15, 2005, by and among VEECO INSTRUMENTS INC., a Delaware corporation (the “Company”), the LENDERS which from time to time are parties to this Agreement (individually, a “Lender” and, collectively, the “Lenders”) and HSBC BANK USA, NATIONAL ASSOCIATION, a national banking association organized under the laws of the United States of America, as Administrative Agent (the “Administrative Agent”).
