This Employment Agreement, dated May 9, 2005, by and between AEP Industries Inc., a Delaware corporation having its offices at 125 Phillips Avenue, South Hackensack, New Jersey 07606 (the “Company”), and John J. Powers (the “Executive”), presently residing at 528 Old Post Road, Wyckoff, NJ 07481, is entered into and shall be effective as of November 1, 2004 (the “Effective Date”).
