THIS AGREEMENT OF PURCHASE AND SALE AND JOINT ESCROW INSTRUCTIONS (the “Agreement”) effective as of January 13, 2005, is made by and between FIRST STRIKE, INC., a Nevada Corporation (hereafter referred to as “First Strike” or “Seller”) and R.G.
