This Settlement and Mutual Release Agreement (the “Agreement”) is made and entered into as of 7-27, 2005 by and among Conceptus, Inc., a Delaware corporation (the “Company”) and Dr. Florence Comité, an individual (“Dr. Comité”). The Company and Dr. Comité are sometimes referred to herein each as a “Party” and collectively as the “Parties.” Except as expressly set forth herein, there are no third party beneficiaries to this Agreement.

THIS LANDLORD CONSENT TO SUBLEASE (this “Consent Agreement”) is entered into as of July 11, 2005, by and among SFERS REAL ESTATE CORP. U a Delaware corporation (“Landlord”), and VERISITY DESIGN, INC., a California corporation (“Sublandlord”), and CONCEPTUS, INC., a Delaware corporation (“Subtenant”).

By this Lease Landlord leases to Tenant and Tenant leases from Landlord the Premises in the Building as set forth and described on the Reference Pages. The Premises are depicted on the floor plan attached hereto as Exhibit A, and the Building is depicted on the site plan attached hereto as Exhibit A-l. The Reference Pages, including all terms defined thereon, are incorporated as part of this Lease.
