THIS AGREEMENT is entered into on August 12, 2005, between COMERICA BANK (“Bank”) as secured party, whose headquarters office is 333 West Santa Clara Street, San Jose, CA 95113 and INFOSONICS CORPORATION, a Maryland corporation, (“Borrower”), whose sole place of business (if it has only one), chief executive office (if it has more than one place of business) or residence (if an individual) is located at the address set forth below its name on the signature page to this Agreement. This Agreement amends and restates that certain Loan and Security Agreement (Accounts and Inventory) dated August 20, 2002, as such may be modified or amended from time to time.
