THIS AGREEMENT is made as of the 19th day of September, 2005, between Fidelity D& D Bancorp, Inc. (“Corporation”), The Fidelity Deposit and Discount Bank (“Bank”), and James T. Gorman (“Executive”), an individual residing at 409 Bald Mountain Road, Bear Creek, Pennsylvania (collectively the “Parties” and, individually, sometimes a “Party”).
