THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made as of September 21, 2005 between BNCCORP, Inc, a Delaware corporation (the “Company”), and each of the Persons (as defined below) who have executed this Agreement and are named in Annex A hereto (each, an “Investor” and, collectively, the “Investors”).
