This letter agreement (this “Agreement”) sets forth the terms and conditions of your employment with WJ Communications, Inc. (the “Company”), effective as of October 24, 2005 (the “Effective Date”). You acknowledge that if the Effective Date does not occur on or before October 24, 2005, the Company shall have no obligation to employ you and this Agreement shall terminate.
