This Asset Purchase Agreement is entered into as of November 18, 2005 (this “Agreement”), by and among A.J.P. R.V., Inc., an Indiana corporation (“Seller”), Monaco Coach Corporation, a Delaware corporation (“Parent”), R-Vision Holdings LLC, a Delaware limited liability company and wholly-owned subsidiary of Parent (“Buyer”) and William L.
