THIS AMENDED AND RESTATED CHANGE IN CONTROL SEVERANCE AGREEMENT (the “Agreement”) dated as of January 27, 2006, is made by and between The J. Jill Group, Inc., a Delaware corporation (“J. Jill”; J. Jill and its Subsidiaries being hereafter referred to as the “Company”), and Olga L. Conley (the “Executive”).
