THIS LOAN AGREEMENT is made and entered into as of February 6, 2006 (the “Effective Date”), by and among VERITAS DGC INC., a Delaware corporation (the “U.S. Borrower”); VERITAS ENERGY SERVICES INC., a corporation formed under the laws of the Province of Alberta, and VERITAS ENERGY SERVICES PARTNERSHIP, a general partnership formed under the laws of the Province of Alberta (collectively, the “Canadian Borrowers” and each a “Canadian Borrower”); VERITAS GEOPHYSICAL (ASIA PACIFIC) PTE. LTD.
