Isolagen, Inc., a Delaware corporation (the “Company”), hereby grants to Martin E. Schmieg (the “Optionee”), a non-qualified stock option (the “Option”) to purchase a total of 300,000 shares (the “Shares”) of the Company’s common stock, par value $0.001 per share (the “Common Stock”), at the price as determined as provided herein (the “Option Agreement”).
