THIS AGREEMENT (the “Agreement”) is entered into effective as of this 28th day of October, 2005 (the “Effective Date”), by and between Tapestry Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and Martin Batt (“Executive”).
