This Fifth Amendment (this “Fifth Amendment”) is entered into as of February 28, 2006 by and among TC PipeLines, LP, a Delaware limited partnership (the “Borrower”), the Lenders party to the Credit Agreement referred to below, and JPMorgan Chase Bank, National Association (successor by merger to Bank One, NA), as agent for such Lenders.
