THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made as of March 6, 2006, by and among FAVRILLE, INC., a Delaware corporation (the “Company”) with its principal office at 10421 Pacific Center Court, Suite 150, San Diego, California 92121, and the individuals and entities listed on the Schedule of Purchasers attached hereto as Exhibit A (the “Purchasers”).

THIS CERTIFIES THAT, for value received, [ ], or assigns (the “Holder”), is entitled to subscribe for and purchase at the Exercise Price (defined below) from Favrille, Inc., a Delaware corporation, with its principal office at 10421 Pacific Center Court, Suite 150, San Diego, California 92121 (the “Company”) up to [ ] shares of the common stock of the Company, par value $0.001 per share (the “Common Stock”). This Warrant is being issued pursuant to that certain Securities Purchase Agreement dated March 6, 2006 by and among the Company and the individuals and entities (including the Holder) listed on the Schedule of Purchasers attached thereto as Exhibit A (the “Purchase Agreement”).
