This letter agreement (this “Agreement”) sets forth the terms and conditions of your employment with WJ Communications, Inc. (the “Company”), effective as of January 16, 2006 (the “Effective Date”). You acknowledge that if the Effective Date does not occur on or before January 16, 2006, the Company shall have no obligation to employ you and this Agreement shall terminate.
