THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of September 1, 2004 by and between NEW PLAN EXCEL REALTY TRUST, INC., a Maryland corporation (the “Company”), and the persons identified on Schedule A hereto (each a “Holder” and collectively, together with their respective successors and assigns permitted under Section 7.3 hereof, the “Holders”).
