Following successful negotiations between the Debtors, the Ad Hoc Adelphia Trade Claims Committee (the “Trade Committee”), and the members of the Trade Committee that are a party to this Agreement (solely in their capacity as members of the Trade Committee and as the holders of Operating Company Trade Claims (defined below), the “Trade Committee Members” and collectively with the Debtors and the Trade Committee, the “Parties”), the Parties have reached agreement on the terms and conditions of certain modifications to the Debtors’ Fourth Amended Joint Plan of Reorganization Under Chapter 11 of the Bankruptcy Code, dated November 21, 2005 (as filed, the “Existing Plan” and as so modified, including in accordance with the terms of this Agreement, the “Modified Plan”) that, subject to satisfaction of the provisions hereof, will result in the full support of the Trade Committee and the Trade Committee Members with respect to the treatment of Operating Company Trade Claims under the Modified
