THIS AMENDED AND RESTATED MANAGEMENT AGREEMENT is made as of April 19, 2006 (this “Agreement”) by and between Gramercy Capital Corp., a Maryland corporation (the “Parent”), GKK Capital LP, a Delaware limited partnership (the “Operating Partnership” and with the Parent and Subsidiaries and other entities controlled by either of them, the “Company”), and GKK Manager LLC, a Delaware limited liability company (the “Manager”).

This SECOND AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this “Agreement”), is amended and restated as of April 19, 2006, and is entered into by and among Gramercy Capital Corp., a Maryland corporation (the “Company”), and SL Green Operating Partnership, L.P., a Delaware limited partnership (the “Holder”). Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in Section 1 hereto.

THIS THIRD AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP, dated as of April 19, 2006 is made by Gramercy Capital Corp., a Maryland corporation, as the General Partner of and a Limited Partner in the Partnership and each of the other persons listed on the signature pages hereto, for the purpose of amending and restating the Second Amended and Restated Agreement of Limited Partnership of the Partnership dated as of December 14, 2005 by and among the General Partner, SL Green Operating Partnership, L.P., GKK Manager LLC, and certain other Persons (as defined below) (the “First Amended and Restated Partnership Agreement”).
