This Retention Agreement (this “Agreement”) is entered into effective as of April 19, 2006, between Michael H. Owens, M.D. (“Employee”) and iVOW, Inc., a Delaware corporation (the “Company”). This Agreement is intended to provide Employee with certain benefits described herein upon the occurrence of specific events. Certain capitalized terms used in this Agreement are defined in Article 4.
