THE CIT GROUP/BUSINESS CREDIT, INC., a New York corporation, with an office located at 5445 DTC Parkway, Suite P4, Greenwood Village, CO 80111 (“CIT”), is pleased to confirm the terms and conditions under which CIT shall make revolving loans, and other financial accommodations to Royster-Clark Nitrogen, Inc., a Delaware corporation, (to be renamed Rentech Energy Midwest Corporation after the Acquisition), (the “Company”), with a principal place of business at c/o Rentech Development Corporation, 1331 17th Street, Suite 720, Denver, CO 80202.
