This GUARANTEE AGREEMENT (the “Guarantee”), dated as of February 15, 2006, is executed and delivered by American Equity Investment Life Holding Company, an Iowa corporation (the “Guarantor”), and Wells Fargo Delaware Trust Company, a national banking association with its principal place of business in the State of Delaware, as trustee (the “Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Capital Securities (as defined herein) of American Equity Capital Trust XII, a Delaware statutory trust (the “Issuer”).

This Amendment is to be attached to and made a part of the Automatic YRT Reinsurance Agreement which became effective October 1, 2005, and shall become effective for policies with issue dates on or after January 1, 2006. All provisions of the Reinsurance Agreement not in conflict with the provisions of this Amendment shall remain unchanged.
