This Employment Agreement (“Agreement”) is by and between HARRAH’S OPERATING COMPANY, INC. (“Company”) and JOHN BOUSHY (“Executive”). This Agreement supersedes and replaces any prior Employment Agreement, and shall be effective on January 30, 2006.
