THIS LOAN AGREEMENT, dated as of May 31, 2006 (as amended, restated, replaced, supplemented or otherwise modified from time to time, this “Agreement”), between BARCLAYS CAPITAL REAL ESTATE INC., a Delaware corporation, having its principal place of business at 200 Park Avenue, New York, New York 10166 and CITIGROUP GLOBAL MARKETS REALTY CORP., a New York corporation, having its principal place of business at 388 Greenwich Street, New York, New York 10013 (individually and collectively, as the context may require, “Lender”) and each of the parties set forth on Exhibit A attached hereto, each having an address at c/o Spirit Finance Corporation, at 14631 N.
