VOTING AND SUPPORT AGREEMENT, dated as of June 12, 2006 (this “Agreement”), by and between Banco Bilbao Vizcaya Argentaria, S.A., a private-law entity organized under the laws of the Kingdom of Spain (“A”), and Glen E. Roney (the “Shareholder”), solely in his individual capacity as beneficial owner of Shares (as defined below). Capitalized terms used but not defined herein shall have the meanings given to such terms in the Merger Agreement (as such term is defined below).
