This AGREEMENT (the “Agreement”) is made as of June 27, 2006 (the “Effective Date”), by and between EXACT Sciences Corporation, a Delaware corporation with its headquarters located at 100 Campus Drive, Marlborough, Massachusetts 01752 (the “Employer”), and Don M.
