THIS AMENDED AND RESTATED LEASE AGREEMENT (this “Lease”) is made and entered into as of the 1st day of January, 2006, by and between PARAGON CENTRE HOLDINGS, LLC, a Kentucky limited liability company (“Landlord”), whose address is 6060 Dutchmans Lane, Louisville, Kentucky 40205, and TEXAS ROADHOUSE HOLDINGS LLC, a Kentucky limited liability company (“Tenant”), whose address is 6040 Dutchmans Lane, Suite 200, Louisville, Kentucky 40205; Attn: Sheila C. Brown, Esq., General Counsel. Subject to all of the terms, provisions, covenants and conditions of this Lease, and in consideration of the mutual covenants, obligations and agreements contained in this Lease, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Landlord and Tenant agree as follows:
