This ASSIGNMENT AGREEMENT AND BILL OF SALE (“Agreement”) is entered into on this 31st day of August, 2006, by and between MED ONE CAPITAL, INC. (“Med One”) and CLARIENT, INC. (“Clarient”). Med One and Clarient shall sometimes hereinafter be referred to collectively as the “Parties” and individually as a “Party.”
