THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement” ) is made and entered into as of September 19, 2006 among NEW PLAN EXCEL REALTY TRUST, INC., a Maryland corporation (the “Company”) and the several initial purchasers (the “Initial Purchasers”) named in Schedule A to the Purchase Agreement (as defined below), for whom Merrill Lynch & Co., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Banc of America Securities LLC are acting as representatives (collectively, the “Representatives”).
