This Employment Agreement (this “Agreement”) is made and entered into on this 20th day of September, 2006 and will be effective as of the Effective Time (as defined in Section 2.03 of the Merger Agreement, as defined below) (the “Effective Date”), by and between FIRST BUSEY CORPORATION, a Nevada corporation (“First Busey”), and DAVID D. MILLS (“EMPLOYEE”).
