THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of October 12, 2006, by and among United Dominion Realty Trust, Inc., a Maryland corporation (the “Company”), and the several initial purchasers (the “Initial Purchasers”) named in Schedule A to that certain Purchase Agreement, dated October 5, 2006 (the “Purchase Agreement”), for whom J.P. Morgan Securities Inc. is acting as representative (in such capacity, the “Representative”), among the Company and the Initial Purchasers.
