This Credit Agreement is entered into as of October 31, 2006 among VERIFONE INTERMEDIATE HOLDINGS, INC., a Delaware corporation (“Holdings”), VERIFONE, INC., a Delaware corporation (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and, individually, a “Lender”), JPMORGAN CHASE BANK, N.A., as Administrative Agent for the Lenders, as Swing Line Lender and as an L/C Issuer, BANK LEUMI USA AND WELLS FARGO BANK, N.A., as Co-Documentation Agents, and LEHMAN COMMERCIAL PAPER INC., as Syndication Agent.
