This Collateral Management Agreement, dated as of August 24, 2006 (this “Agreement”), is entered into by and between GRAMERCY REAL ESTATE CDO 2006-1, Ltd., an exempted company incorporated with limited liability under the laws of the Cayman Islands (together with successors and assigns permitted hereunder, the “Issuer”), and GKK MANAGER LLC, a limited liability company organized under the laws of the State of Delaware (together with its successors and assigns, the “Collateral Manager”).
