This Product Line Purchase Agreement (“Agreement”) is made as of the Effective Date by and between PhotoLynx, Inc. (“PhotoLynx”), a California corporation, and ImageWare Systems, Inc. (“IWS”) a Delaware corporation (together “the Parties”). The term “Effective Date” shall mean the date this Agreement is signed by Photo Lynx or IWS (whichever is later).
