This Third Amended and Restated Employment, Confidentiality and Non-Competition Agreement (hereafter referred to as this “Agreement”) is made by and between CombinatoRx, Incorporated, a Delaware corporation having a usual place of business at 245 First Street, 16th Floor, Cambridge, Massachusetts 02142, (the “Company”) and Curtis T. Keith, Ph.D. of 57 Warren Street, Apartment No. 1, Boston, MA 02116 (the “Employee”) as of the 1st day of December, 2006, amending and restating that certain Second Amended Employment, Confidentiality and Non-Competition Agreement between the parties dated as of the 1st day of July, 2004 (the “Prior Agreement”).
