This PAYMENT GUARANTY, dated as of December 11, 2006 (this “Guaranty”), is made by The Tokyo Electric Power Company, Incorporated, a corporation formed under the laws of Japan (“Guarantor”), in favor of Mirant Asia-Pacific Ventures, Inc., a Delaware corporation (“Ventures”), and Mirant Asia-Pacific Holdings, Inc., a Delaware corporation (“Holdings” and, each of Ventures and Holdings, a “Seller” and together, “Sellers”).
