THIS AGREEMENT AND DECLARATION OF TRUST is made this 18th day of January, 2007, by the Trustees hereunder and by the holder of shares of beneficial interest with the intent that it will be binding upon subsequent Trustees and upon all subsequent holders of shares of beneficial interest hereunder.

The undersigned, RMR Advisors, Inc., hereby offers to subscribe for and purchase one common share of beneficial interest, $.001 par value per share (the “Shares”), of RMR Asia Real Estate Fund (the “Fund”) at an aggregate price of $20.00, such sum to be tendered in exchange for the Shares concurrently with the execution of this Agreement.
