THIS FIRST SUPPLEMENTAL INDENTURE (this “First Supplemental Indenture”), dated as of February 8, 2007, is made by and between The Reader’s Digest Association, Inc., a corporation duly organized and existing under the laws of the State of Delaware, as issuer (the “Company”), and The Bank of New York, as successor trustee (the ”Trustee”). Capitalized terms used herein and not otherwise defined shall have the meaning assigned to them in the Indenture (as defined below).
