THIS EMPLOYMENT AGREEMENT (the “Agreement”) is entered into on this 12th day of February, 2007, and is effective as of the 5th day of November, 2006 (the “Effective Date”), between IRWIN LERNER (the “Executive”) and MEDAREX, INC. (the “Company”) (collectively, the Executive and the Company shall be referred to as the “Parties”).
